VoteGuard International Ltd has successfully held a Special General Meeting (SGM) of its members to approve a key constitutional amendment that enables the Organisation to seek Deductible Gift Recipient (DGR) status under Australian law.

The SGM, convened virtually with members participating across multiple time zones, was duly constituted in accordance with the Organisation’s Constitution and the Corporations Act 2001 (Cth). A quorum was confirmed, and the meeting proceeded with full participation.

Special Resolution Passed

Members considered and passed the following special resolution with at least 75% of eligible votes:

“That the Constitution of VoteGuard International Ltd be amended by inserting a new Clause 75 – Deductible Gift Recipient (DGR) Requirements, as circulated to members.”

The amendment took immediate effect upon passage, establishing the framework for a Gift Fund to receive gifts and deductible contributions, including governance, bank account, receipts, and winding-up provisions, in full compliance with Australian taxation law (Subdivision 30-BA of the Income Tax Assessment Act 1997).

This constitutional amendment is a critical step in strengthening VoteGuard International’s financial compliance and accountability, while enabling the Organisation to expand its mission globally.

VoteGuard International thanks its members for their engagement and support in this important governance milestone. The Organisation continues to advance its work in defending the rule of the electorate worldwide and promoting accountability in electoral processes.
