First Board Meeting Held

5 September 2025 | Sydney – Virtual (Zoom) Meeting

VoteGuard International Ltd successfully convened its first Board of Directors meeting via Zoom on 5 September 2025, marking a key milestone in the Organisation’s establishment and governance.

Foundational Governance and Organisational Setup

The meeting formalised the organisation’s constitution and initiated the governance framework, including:

  • Election of office-bearers and clarification of Board roles and responsibilities
  • Establishment of meeting procedures, minutes, and resolutions in line with Australian nonprofit governance standards
  • Development and endorsement of core governance policies covering Board oversight, conflict of interest management, accountability, and transparency

These steps laid the foundation for regulatory compliance and operational readiness.

Legal and Regulatory Milestones

During Quarter 1 (1 July – 30 September 2025), the Organisation achieved critical legal and regulatory milestones:

  • Registration with the Australian Securities and Investments Commission (ASIC)
  • Obtaining an Australian Business Number (ABN)
  • Completion of foundational compliance steps to prepare for ACNC registration in Quarter 2

Development of the Global Model Law

A central focus of the quarter was the commencement of drafting the Global Model Law on Treating Electoral Fraud as Treason. The Board approved Draft Version 0.9 during the meeting. The draft legal framework emphasizes:

  • People’s electoral authority as a constitutional duty
  • Electoral fraud as a usurpation of the people’s authority to elect their government
  • Accountability mechanisms grounded in public and international law

The approval of this draft represents the first substantive deliverable of the Organisation’s Launch Year Work Plan.

Operational Context and Outlook

  • All Q1 activities were conducted on a volunteer and pro bono basis, reflecting the Organisation’s start-up phase
  • Key priorities for Quarter 2 include ACNC registration, independent pro bono legal review of the Model Law, public communications and website launch, and development of educational resources

VoteGuard International thanks its founding Board members and volunteers for their dedication during this critical launch phase. These initial achievements set the stage for the Organisation’s ongoing work to defend the rule of the electorate worldwide.
